- Litigation and Arbitration: We have successfully achieved significant outcomes in numerous lawsuits related to financial, real estate, commercial, and Zakat claims. We have represented our clients before all judicial bodies, quasi-judicial committees, and arbitration panels.
- Privatization and Transformation: We participated as a legal expert in an alliance comprising several consulting firms to provide studies, recommendations, and business models for the privatization of a government entity into a private entity. We offered legal solutions and established procedures for the transition of employees, addressing cases of non-transition, and developing legal options and alternatives to ensure the smooth transfer of employees’ statuses, rights, and benefits to the new entity.
- Establishing Legal Departments: We acted as a legal expert in establishing a legal department for one of the major joint-stock companies. This included preparing a manual and policy for the department’s work procedures, selecting suitable talents for the department, and training them according to the company’s needs and requirements.
- Human Resources Development: We contracted with one of the largest holding companies in the Kingdom to enhance and improve the efficiency of its human resources management. This included preparing customized labor regulations for each company, auditing all internal HR templates to ensure compliance with labor laws, drafting detailed internal HR policies, and adding clauses to electronic employment contracts tailored to each company’s activities. These measures ensured legal protection for the company against labor disputes.
- Mergers and Acquisitions: Successfully participated in negotiations, prepared and executed the legal procedures for mergers and acquisitions of several companies, conducted due diligence processes, and drafted acquisition contracts while ensuring their implementation.
- Distribution of Inheritances: Successfully managed the distribution and division of financial and real estate inheritances for commercial families.
- Real Estate Disputes: Achieved significant success in handling numerous cases related to real estate disputes and contributions.
- Construction and Contracting: Successfully resolved several cases related to construction and contracting disputes between companies or between companies and administrative entities. We have specialized expertise in this field, including managing construction contracts and ensuring compliance within these contracts.
- Governance and Authorities: Collaborated with clients on governance projects and auditing their authority matrices. This included preparing and reviewing multiple authority matrices to ensure operational efficiency and compliance with regulations. Examples include: Board of Directors authority matrix, executive and specialized committee authority matrices, administrative authority matrix, financial authority matrix, and more.
- Employee Transition Studies: Provided legal studies on employee transitions between projects and subsidiaries, including creating a risk matrix to outline the scope and impact of risks on the client. We also offered legal solutions to help clients manage the transition process while safeguarding the rights of both employees and the client.
- الخصخصة والتحول الإداري: شاركنا كجهة خبرة قانونية في تحالف مكون من عدة شركات استشارية في تقديم الدراسات والتوصيات لعملية خصخصة إحدى الكيانات الحكومية الى كيان خاص، وتقديم الحلول القانونية ووضع الإجراءات القانونية لعملية انتقال الموظفين والية التعامل مع حالات عدم الانتقال وضع الخيارات والبدائل القانونية بما يسهم في سلامة وانتقال أوضاع العاملين وحقوقهم وامتيازاتهم الى الكيان الجديد.
- إنشاء الإدارات القانونية: قمنا كجهة خبرة قانونية في انشاء إدارة قانونية في احدى الشركات المساهمة الكبرى، وتم اعداد دليل وسياسة لإجراءات العمل في الإدارة القانونية واختيار الكفاءات المناسبة للعمل في الإدارة بعد تدريبها وفق احتياجات ومتطلبات الشركة.
- صياغة التشريعات: قمنا كجهة خبرة قانونية بصياغة تشريعات وتنظيم لعدد من الهيئات الحكومية وتقديم النصح والمشورة في صياغة اللوائح والسياسات الداخلية للهيئة.
- تطوير الموارد البشرية: التعاقد مع أحد أكبر الشركات القابضة في المملكة لتطوير وتحسين كفاءة إدارة الموارد البشرية، من خلال إضافة بنود في عقود العمل الإلكترونية وفق نشاط كل شركة وبما يتلاءم مع نشاط الشركة واعداد لوائح تنظيم عمل مخصصة لكل شركة وتدقيق جميع النماذج الداخلية للموارد البشرية وتدقيقها بما يتفق مع نظام العمل، واعداد سياسات داخلية تفصيلية للموارد البشرية، بما يكفل الحماية القانونية للشركة من النزاعات العمالية.
- الاستحواذ والاندماج: تحقيق نجاحات في حضور المفاوضات واعداد وتنفيذ الإجراءات القانونية لعمليات استحواذ واندماج لعدد من الشركات.
- القضاء الإداري: تحقيق نجاحات في العديد من الدعاوى القضائية المقامة امام القضاء الإداري في منازعات تتعلق بعقود المقاولات وكذلك في دعاوى الطعن في العديد من القرارات الإدارية الصادرة بغرامات مالية ضد عملاءنا والغاءها.
- توزيع التركات: تحقيق نجاحات في توزيع وقسمة التركات المالية والعقارية لعوائل تجارية.
- المنازعات العقارية: تحقيق نجاحات في العديد من القضايا المتعلقة بالمنازعات والمساهمات العقارية.
- المقاولات والإنشاءات: تحقيق نجاحات في عدد من القضايا المتعلقة بالمقاولات والانشاءات بين الشركات أو بين شركات وجهات إدارية.
- الحوكمة والصلاحيات: العمل مع عملائنا في مشروع حوكمة وتدقيق مصفوفة الصلاحيات الخاصة بالعميل، والذي يشمل إعداد ومراجعة مصفوفات صلاحيات متعددة لضمان كفاءة العمليات وامتثالها للأنظمة، منها على سبيل المثال: مصفوفة صلاحيات مجلس الإدارة، مصفوفة صلاحيات اللجان التنفيذية والمتخصصة، مصفوفة الصلاحيات الإدارية، مصفوفة الصلاحيات المالية وغيرها.
- دراسة انتقال الموظفين: تقديم الدراسة القانونية حول (انتقال الموظفين بين المشاريع والشركات التابعة) ورسم مصفوفة المخاطر لتوضيح حجم الخطر وتأثيره على العميل وتقديم حلول قانونية تساعد العميل في معالجة عملية الانتقال مع حفظ حقوق الموظف والعميل.
- امتيازات مجلس الإدارة: تقديم الدراسة القانونية حول (امتيازات ومكافئات أعضاء مجلس الإدارة) والاجابة على الاستفسارات الواردة عليها بموجب الأنظمة والتعليمات المحلية ذات العلاقة.
- المشاريع الحكومية: تقديم دراسة قانونية تفصيلية حول (المشاريع الحكومية والمناقصات التي بإمكان العميل المشاركة فيها) وتوضيح الجوانب القانونية التي يجب على العميل مراعاتها أثناء التقديم على المناقصات أو المشاريع الحكومية وفقاً لنظام المنافسات والمشتريات الحكومية.
